3.1 Registration

To use Galaxias Labs, you must register for an account by providing accurate, current, and complete information. You agree to update your account information promptly if it changes. We reserve the right to suspend or terminate accounts that provide false or misleading information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

Galaxias Labs Limited shall not be liable for any loss or damage arising from your failure to maintain account security.

• Use a strong, unique password and enable multi-factor authentication (MFA) where available
• Notify us immediately at [email protected] if you suspect any unauthorised access
• Ensure that all users you grant access to comply with these Terms
• Not share account credentials with unauthorised third parties

3.3 User Roles

Subscribers (account owners) are responsible for managing access permissions for their team members. You are fully responsible for all actions taken by users operating under your Subscriber account.

4.1 Subscription Plans

Access to Galaxias Labs is provided on a subscription basis. Plan details, features, and pricing are set out on our website and may be updated from time to time. We will provide reasonable advance notice of material pricing changes.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis, as selected at sign-up
• Fees are non-refundable except as expressly stated in our refund policy or required by applicable law
• You authorise us to charge your nominated payment method automatically on each billing cycle
• If payment fails, we will notify you and may suspend access to the platform until payment is received

4.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for all applicable taxes, levies, or duties imposed by tax authorities in your jurisdiction.

4.4 Free Trials

We may offer free trial periods at our discretion. At the end of the trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

6.1 Your Data

You retain full ownership of all data you upload, input, or generate on the Galaxias Labs platform ("Subscriber Data"), including all CRM records, customer data, order information, and communications content. We do not claim any ownership rights over your Subscriber Data.

6.2 Licence to Process

By using Galaxias Labs, you grant Galaxias Labs Limited a limited, non-exclusive, worldwide licence to access, store, process, and use your Subscriber Data solely for the purpose of providing and improving the services to you. This licence terminates when you close your account, subject to our data retention obligations set out in the Privacy Policy.

6.3 Data Controller & Processor

For any personal data of your customers that you upload or process through Galaxias Labs, you are the data controller and we are the data processor. You are responsible for ensuring that:

• You have a lawful basis to collect and process your customers' personal data
• You have provided appropriate privacy notices to your customers
• You comply with all applicable data protection laws, including Hong Kong's Personal Data (Privacy) Ordinance (Cap. 486)

6.4 Data Export

You may export your Subscriber Data at any time during your active subscription. We will provide your data in a standard machine-readable format upon request. Following account termination, data export requests must be made within 30 days of account closure.

7.1 Your Responsibilities as Sender

• You are solely responsible for the content of all messages sent through the platform
• You must obtain and maintain valid consent from all message recipients in accordance with applicable laws, including the Unsolicited Electronic Messages Ordinance (Cap. 593, Hong Kong) and any relevant international regulations
• You must honour all unsubscribe and opt-out requests promptly
• You must not use the platform to send spam, phishing, fraudulent, deceptive, or harassing content
• You must comply with the terms and policies of all third-party messaging platforms, including WhatsApp Business Platform policies

7.2 Our Role

We act solely as a technical intermediary and transmit messages on your instruction. We do not review, approve, or take responsibility for the content of messages you send. However, we reserve the right to suspend or terminate your access if we become aware of violations of this section or applicable law.

7.3 Sending Limits & Fair Use

Your subscription plan may include limits on the number of messages sent per billing period. Exceeding these limits may result in additional charges or throttling of message delivery. Details are set out in your plan documentation.

8.1 Nature of AI Services

Galaxias Labs integrates AI capabilities to assist you with tasks such as drafting messages, analysing customer data, generating insights, and providing recommendations. These features are powered by large language models and AI systems that may be provided by third-party AI providers.

8.2 Acceptable Use of AI Features

You agree not to use AI features to:

• Generate deceptive, misleading, or fraudulent content
• Create content that infringes copyright or other intellectual property rights
• Produce content that is discriminatory, abusive, or violates any applicable law
• Circumvent safety mechanisms or attempt to manipulate the AI systems
• Input any information that you are not authorised to share, such as confidential third-party data

8.3 No Warranty on AI Outputs

AI outputs are provided "as is" and do not constitute professional advice of any kind, including legal, financial, medical, or otherwise. We make no warranty regarding the accuracy, completeness, or fitness for purpose of any AI-generated content. You rely on AI outputs at your own risk.

8.4 Data Submitted to AI

Your prompts and inputs to AI features may be processed by third-party AI model providers. Please refer to our Privacy Policy (Section 5) for full details on how AI interaction data is handled.

9.1 Our Intellectual Property

All intellectual property rights in the Galaxias Labs platform, including software, design, trademarks, logos, and documentation, are owned by or licensed to Galaxias Labs Limited. Nothing in these Terms grants you any rights in our intellectual property other than the right to use the platform as expressly set out herein.

9.2 Feedback

If you provide feedback, suggestions, or ideas about the platform, you grant us a royalty-free, perpetual, irrevocable licence to use such feedback for any purpose, including improving the platform, without any obligation to compensate you.

9.3 Restrictions

You must not copy, modify, distribute, sell, sub-license, reverse-engineer, or create derivative works of the Galaxias Labs platform or any part of it without our prior written consent.

11.1 Disclaimer of Warranties

The Galaxias Labs platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, Galaxias Labs Limited disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free from harmful components.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law, Galaxias Labs Limited shall not be liable for any:

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from third-party actions, system downtime, or data loss beyond our reasonable control

11.3 Force Majeure

We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, government actions, cyberattacks, or failures of third-party services.

13.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by law.

13.2 Termination by Us

We may suspend or terminate your account immediately if:

• You breach any material provision of these Terms
• You fail to pay any amounts due within 14 days of the due date
• You engage in conduct that causes harm to the platform, other users, or third parties
• We are required to do so by law or regulatory authority

13.3 Effect of Termination

Upon termination, your right to access the platform ceases immediately. You should export your data before account closure. We will delete your Subscriber Data within 60 days of account closure, subject to any applicable legal retention requirements. Provisions of these Terms that by their nature should survive termination will do so, including Sections 6, 9, 10, 11, 12, and 15.
